Starship No. 27, LLC ("Starship," "we," "us," "our") provides integrated technology infrastructure for music, AI orchestration, and creative systems. These Terms of Service ("Terms") govern your access to and use of all Starship No. 27 properties, platforms, APIs, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

§ 1. Acceptance of Terms
By creating an account, accessing, or using any Starship No. 27 Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.
We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use after changes are posted constitutes acceptance of the modified Terms.
§ 2. Eligibility
You must be at least 13 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
§ 3. Accounts & Authentication
Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
Artist & operator accounts. Certain features (releases, admin dashboards, CYPH chat) require authenticated accounts. Role assignments (artist, admin, operator) are managed by Starship No. 27 and may be modified or revoked at our discretion.
Third-party authentication. Where Google Sign-In or other OAuth providers are offered, your use is subject to both our Terms and the third-party provider's terms. We receive only the minimum data necessary for authentication.
Session management. Sessions are managed via server-side tokens and cookies. We may terminate idle sessions for security purposes. You may log out at any time.
§ 4. Description of Services
Starship No. 27 provides the following integrated services:
- Music distribution & presave platform — tools for artists and labels to manage releases, presave campaigns, smart links, and distribution workflows
- LYRA Core — multi-agent orchestration engine, task routing, and AI-assisted content workflows
- MikuOS — local AI inference bridge enabling on-device LLM execution and mesh network routing
- M2M Protocol — machine-to-machine authenticated mesh communication
- VanguardOS — operator dashboard for managing releases, campaigns, and platform operations
- CYPH (Network 27) — real-time messaging and communication platform
- Miku Public Terminal — public-facing AI conversational interface
- AI image & content generation — tools for generating creative assets using AI models
- Press wire & syndication — automated press release generation and multi-platform social distribution
- Blockchain & settlement features — where enabled, token-based settlements and on-chain recordkeeping
We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.
§ 5. AI & Inference Services
AI-generated content. Services include AI-assisted content generation (text, images, audio, social copy, press releases). You acknowledge that:
- AI-generated content may not be unique and similar outputs may be produced for other users
- You are solely responsible for reviewing AI-generated content before publication, distribution, or public use
- AI-generated content does not constitute professional advice (legal, medical, financial, or otherwise)
Inference providers. AI features may route requests through third-party inference providers (e.g., Google Gemini/Vertex AI, Groq, OpenAI, Replicate, Stability, Pollinations, Ollama). Your use of AI features is subject to the acceptable use policies of the underlying providers.
No guarantees of accuracy. AI systems may produce inaccurate, incomplete, or offensive outputs. Starship No. 27 makes no warranty regarding the accuracy, reliability, or quality of AI-generated content.
Training data. We do not use your inputs to train AI models unless you explicitly opt in. Content you submit through the Services may be processed by inference providers solely to fulfill your request.
Automated decision-making. The orchestrator and agent systems may perform automated content review, scoring, and publishing decisions. Human review is available and recommended for all published outputs.
§ 6. User Content & Intellectual Property
Your content. You retain ownership of all content you submit to the Services ("User Content"), including audio files, artwork, lyrics, prompts, text, and other materials.
License to Starship. By submitting User Content, you grant Starship No. 27 a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of operating and providing the Services (e.g., distributing releases, generating presave campaigns, performing AI inference, displaying content in dashboards).
AI-generated derivatives. Content generated by our AI tools based on your inputs is considered your User Content, subject to the same license terms. You are responsible for ensuring that AI-generated derivatives do not infringe third-party rights.
Platform content. All Starship No. 27 proprietary content, software, designs, logos, and documentation remain our exclusive property. You may not copy, modify, or distribute platform content without written permission.
Release content. For music releases submitted through the platform, you represent and warrant that you own or have cleared all rights to the content, including master recordings, compositions, artwork, and metadata, and that such content does not infringe any third-party rights.
§ 7. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Distribute spam, unsolicited communications, or deceptive content
- Impersonate any person or entity, or misrepresent your affiliation
- Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems
- Interfere with or disrupt the Services, servers, or networks
- Use automated tools (bots, scrapers) to access the Services in violation of our
robots.txtor these Terms - Circumvent rate limits, access controls, security measures, or governor policies
- Use AI features to generate content that violates applicable laws or these Terms
- Reverse engineer, decompile, or attempt to extract source code from any part of the Services
- Resell, sublicense, or redistribute the Services without written authorization
- Use the M2M mesh protocol for unauthorized machine-to-machine communication outside the N27 network
We reserve the right to investigate and take appropriate action against violations, including suspension or termination of your account.
§ 8. Payment, Subscriptions & Refunds
Paid features. Certain Services may require payment, including but not limited to premium releases, distribution services, AI usage quotas, or subscription tiers. Payment processing is handled by third-party providers (e.g., Stripe).
Pricing. All pricing is displayed in the relevant interface and may change at any time. Changes take effect for new billing cycles after notice.
Refunds. Unless otherwise stated or required by applicable law, payments are non-refundable. If you believe a charge was made in error, contact billing@starshipno27.com.
Taxes. You are responsible for any applicable taxes associated with your use of paid Services.
§ 9. Blockchain & Token Features
No custody. Starship No. 27 does not custody private keys, seed phrases, or digital assets on your behalf. You are solely responsible for securing your wallet and credentials.
Transaction finality. Blockchain transactions are irreversible once confirmed on-chain. Starship No. 27 is not responsible for failed, delayed, or incorrect transactions.
Network fees. On-chain operations may incur network gas fees. You are responsible for all fees associated with your transactions.
Regulatory compliance. You are responsible for compliance with all applicable laws regarding digital assets, tokens, and blockchain-based settlements in your jurisdiction.
No investment advice. Nothing in the Services constitutes financial, legal, or investment advice. Token features are operational settlement tools, not investment products.
§ 10. API Terms & Rate Limits
API access. Where API access is provided (including M2M protocol endpoints, orchestrator interfaces, and integration APIs), you must use them in accordance with these Terms and any accompanying documentation.
Rate limits. All API endpoints are subject to rate limiting and governor policies. Exceeding rate limits may result in temporary or permanent access restrictions. Rate limits are enforced per-account, per-IP, and per-service as configured by the platform.
Abuse. Circumventing rate limits, sharing API credentials, or using APIs to replicate or compete with the Services is prohibited.
API availability. We do not guarantee API uptime or availability. Scheduled maintenance and emergency changes may affect access without notice.
§ 11. Third-Party Integrations
The Services integrate with third-party platforms and providers, including:
- Spotify — OAuth-based presave and library actions
- Google (Gemini / Vertex AI) — AI inference and image generation
- Groq — AI inference for mesh and agent operations
- Zernio — social media syndication and publishing
- Stripe — payment processing
- Email providers — SMTP/IMAP delivery and inbox sync
- Blockchain networks — Base, Arbitrum, or other chains for settlement
Each third-party provider operates under its own terms and privacy policy. We are not responsible for the actions, content, or practices of third-party services. You acknowledge that use of these integrations is subject to the respective provider's terms.
§ 12. DMCA & Copyright Policy
Reporting infringement. If you believe that content on the Services infringes your copyright, you may submit a DMCA takedown notice to our designated agent:
Your notice must include:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to be infringed
- Identification of the infringing material and its location on the Services
- Your contact information (name, address, email, phone number)
- A statement of good faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act
Counter-notification. If your content was removed and you believe it was in error, you may submit a counter-notification including identification of the material, your consent to jurisdiction, and your signature.
Repeat infringers. We may terminate accounts of users who are repeat infringers.
Fraudulent claims. Misuse of the DMCA process (e.g., filing fraudulent takedown notices) may result in liability.
§ 13. Disclaimers
Services provided "as is." THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No warranty of accuracy. We do not warrant the accuracy, completeness, or reliability of any content, including AI-generated content, press releases, or pSEO pages.
No warranty of uptime. We do not guarantee uninterrupted or error-free operation of the Services.
AI outputs. AI-generated content is provided for informational and creative purposes. You assume all risk of use and are solely responsible for evaluating AI outputs before relying on or publishing them.
Third-party services. We are not responsible for the availability, accuracy, or practices of third-party services integrated with the platform.
§ 14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARSHIP NO. 27, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, CONTENT, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
Some jurisdictions do not allow limitation of certain liabilities; in such cases, our liability is limited to the fullest extent permitted by applicable law.
§ 15. Indemnification
You agree to indemnify, defend, and hold harmless Starship No. 27, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your User Content, including any content you publish through the platform
- Your violation of any third-party rights
- Your use of AI-generated content
- Blockchain transactions you initiate
§ 16. Termination
By you. You may terminate your account at any time by contacting us or using account settings where available.
By us. We may suspend or terminate your account and access to the Services at any time, with or without cause, including for violation of these Terms, abuse, or non-payment. We will provide notice where reasonably practicable.
Effect of termination. Upon termination, your right to use the Services ceases. We may retain data as necessary to comply with legal obligations, resolve disputes, and enforce our rights. Certain provisions (intellectual property, limitation of liability, indemnification, governing law) survive termination.
Data export. Where technically feasible and upon reasonable request, we will assist with exporting your User Content within 30 days of termination, unless retention is required by law.
§ 17. Governing Law & Disputes
Governing law. These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.
Dispute resolution. Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be resolved through binding arbitration administered in Brooklyn, New York, in accordance with applicable arbitration rules.
Class action waiver. You agree to resolve disputes on an individual basis and waive any right to participate in a class action, class-wide arbitration, or representative proceeding.
Injunctive relief. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.
§ 18. Cookie Policy
The Services use cookies and similar tracking technologies. This section explains how we use them.
Types of cookies
- Strictly necessary cookies — required for authentication, session management, and security. Without these, authenticated features cannot function.
- Functional cookies — remember your preferences, display settings, and language choices.
- Analytics cookies — used on public-facing properties (e.g., music subdomain) to understand usage patterns and improve the platform. These may be set by third-party analytics providers.
- Syndication cookies — used by Zernio integration for social media publishing workflows.
Session cookies
Server-side session cookies are used for authentication across .starshipno27.com subdomains. CYPH uses JWT tokens stored in localStorage (separate from Express sessions). These are essential for the Services to function and cannot be disabled while using authenticated features.
Third-party cookies
Third-party services (Google Analytics, Zernio, payment processors) may set their own cookies subject to their respective privacy policies. We do not control these cookies.
Managing cookies
You can control cookies through your browser settings. Disabling strictly necessary cookies may prevent authenticated features from working. Disabling analytics cookies will not affect core functionality.
Do Not Track
We respect Do Not Track (DNT) browser signals where technically feasible. Analytics cookies are disabled on pages where DNT is detected.
§ 19. Changes to Terms
We may update these Terms as our platform evolves. Material changes will be:
- Reflected by updating the "Last updated" date at the top of this page
- Posted on this page with a summary of changes where significant
- Communicated via email or in-platform notification for material changes affecting active accounts
Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
